BOARD OF TRUSTEES AT FASHION REVOLUTION

If you are a seasoned leader who wants to create a revolution in the fashion industry, this is your opportunity to drive Fashion Revolution CIO into its future. 

We are the world’s largest fashion activism movement, mobilising citizens, brands, and policymakers through research, education, and advocacy. Our vision is a global fashion industry that conserves and restores the environment and values people over growth and profit.

We are looking for three exceptional and experienced leaders to join our Board of Trustees as we transition from a CIC (Community Interest Company) to a CIO (Charitable Incorporated Organisation): Deputy Chair, Treasurer, and Secretary.  

The Board of Trustees provides strategic, legal, fiduciary, and ethical oversight to Fashion Revolution CIO in pursuit of its mission. This is an opportunity to play a critical role in this movement engaging thousands of people worldwide. 

JOB TITLE: Trustee  

REPORTING TO: CIO Association Members 

LOCATION: This role is a remote position with a global reach

LANGUAGE: Proficiency in English is required

HONORARIUM: 1,000 GBP per Annum 

FIXED TERM: Three years (subject to funding and performance in the role) 

HOURS: Part Time 12 hours per year 

STARTING DATE: December 2024

The successful candidates will demonstrate the following expertise and skills: 

  • Governance and non-profit management best practices to ensure the charity fulfills its legal and regulatory responsibilities
  • Financially astute with business acumen  
  • Experience in the third sector, preferably in the sustainable fashion field 
  • Applied understanding of revenue generation through sustainable sources
  • Credibility and effectiveness at board and senior levels to ensure robust debate, balanced perspectives, and quality contributions 
  • Networking and nurturing stakeholder relationships such as partners, media, and donors
  • Strategy development and planning 
  • Organisation design and development for sustainable growth and longer-term expansion
  • Ethical in word and deed. Free from actual/potential conflicts of interest
  • Confident with ambiguity and comfortable with the new and unknown

General responsibilities for all three roles: 

  • Attend bi-monthly Board meetings on Zoom and an annual in-person meeting. 
  • Lead the organisational transformation to implement a CIO – Association Model 
  • Defining mandates and setting up the work of sub-committees as required
  • Regular risk assessments, oversight, and report internal controls 
  • Oversight of periodic trustee performance evaluation and timely replacement
  • Publicly represent the organisation at high-level meetings or events
  • Strategy development and planning alongside trustees, executives, and senior management team members
  • Accountability for Fashion Revolution’s programme portfolio with delegation and oversight of projects sponsored at the board level
  • Accountability and shared responsibility for managing the whistleblowing hotline and reporting the protected disclosure service

Specific responsibilities per role:

ROLE 1: CHAIR 

  • Lead and inspire a small team of staff and a large team of volunteers within our global network to advance our mission
  • Represent Fashion Revolution in internal and external forums, globally. 
  • Performance management and professional development of the Executive Director

ROLE 2: TREASURER

  • Have due oversight of the financial planning, procurement, and investment of funds
  • Have due oversight of receipts, disbursements, banking, protection, and custody of funds, securities, and financial  instruments
  • Have due oversight of forecasting for future financial decisions and positions
  • Review and interpret financial reports
  • Have due oversight of insurance coverage
  • Have due oversight of banking relationships
  • Serve as the chair of the finance committee
  • Work with the Finances Manager and the Executive Director to ensure that appropriate financial reports are made available to the board on a timely basis
  • Present the annual budget to the board for approval
  • Oversee the annual audit 

ROLE 3: SECRETARY 

  • Implementing the board’s events and meetings calendar, with key milestones, such as strategy offsites and financial year end and audit
  • Scheduling meetings, managing agendas, preparing board papers, and distributing minutes
  • Organising the Annual General Meeting
  • Experience in establishing and extending diverse membership communities and volunteer networks
